Terms of engagement
They apply to all our services and include those of the proposal you receive in writing before engaging us.
- 1. Nature of the service
- Business consultancy, management and support. TANMIYA acts as an adviser and intermediary; final outcomes may depend on government authorities, financial institutions and third parties.
- 2. Validity and confirmation
- Proposals are valid for 30 days from the date they are sent. The engagement is confirmed once the proposal has been accepted and payment made, and the service starts only once payment has been confirmed.
- 3. Scope
- It covers only the services and advice expressly contracted and confirmed in writing.
- 4. Communication and changes
- Email and WhatsApp are the main channels. Any change of scope must be confirmed in writing and accepted by both parties. A change of scope or schedule may lead to a revision of fees.
- 5. Client obligations
- The client will provide authentic, correct and complete information and documentation on time, and will be responsible for their legal, tax and regulatory obligations. Any delay or rejection arising from non-compliance will be the client's responsibility.
- 6. Timeframes and third parties
- Timeframes are estimates and depend on authorities, banks, appointments, identity and compliance checks (KYC and compliance), providers and the client's response. TANMIYA does not guarantee approvals.
- 7. Costs and extras
- Government fees and third-party costs (banks and other providers) are not included in the professional fees, are borne by the client and may vary. Any work outside the contracted scope will be quoted separately, and assessing it may require at least 3 working days.
- 8. Payments and refunds
- 100% payment in advance, unless otherwise agreed in writing. TANMIYA may suspend the service for non-payment or missing documentation. Fees for work already started are non-refundable. If the service is cancelled before it starts, an administrative charge may apply. Third-party costs are not refunded under any circumstances.
- 9. External changes
- New requirements, fees, criteria set by the authorities or regulatory changes may alter the timeframes, costs or scope.
- 10. Confidentiality
- Both parties will treat the information received as confidential, except where disclosure is required by law or requested by an authority. The processing of personal data is governed by the privacy policy.
- 11. Termination
- Either party may terminate the service for material breach, without affecting the amounts due for work carried out or committed, or for expenses incurred.
- 12. Change of agent or provider
- Changing agent or provider may require an NOC (no objection certificate), additional procedures, government fees or professional fees, payable by the client.
- 13. Liability
- TANMIYA is not liable for decisions or delays by the client, the authorities, banks or third parties, nor for indirect loss.
- 14. Entire agreement
- The accepted proposal, together with any services or extras accepted in writing, supersedes any prior or subsequent communication regarding the scope.
- 15. Governing law and jurisdiction
- These terms are governed by the laws of the United Arab Emirates, and any dispute will be resolved before the competent jurisdiction of the Emirates.
- 16. Acceptance
- Engaging our services implies full acceptance of these terms.
