Service description
Regulatory compliance is key to the success and security of any company.
We provide legal advice so that your business operates securely within the legal framework of the UAE and other Gulf markets, coordinating with specialist law firms when the matter requires it.
For legal services that require a specialisation, a professional licence or a jurisdiction outside our direct reach, we work with a network of partner law firms in the UAE, Spain and Latin America. You still have a single point of contact.
The legal and regulatory framework of the UAE and the Gulf has changed a great deal in just a few years and is still evolving, and each country has its own regulations and procedures. What was valid when someone advised you five years ago may not be valid today. Our value lies not only in knowing the rules, but in knowing how they are applied in practice, which authority is involved, how a legal decision relates to the trade licence, tax, employees or the bank, and when an external specialist needs to be brought in.
Legal certainty
Operating within the legal framework protects your business and your reputation. We support you in every decision and coordinate with whoever is needed.
What does our service include?

Company incorporation and registration
Legal form, articles of association, shareholders' agreements and registration. What is signed at incorporation determines what can be done later and at what cost.
Drafting and reviewing commercial contracts
Distribution, agency, service agreements, confidentiality agreements. They are reviewed before signing, which is when there is still room to negotiate.
Regulatory compliance and local regulations
Corporate, employment and sector-specific obligations depending on the activity and the chosen jurisdiction, and the implications of each decision for the trade licence, tax and employees.
Intellectual property and trade mark protection
Trade mark registration in the UAE and the Gulf. Entering a new market without a registered trade mark is the quickest way to find it already taken.
Employment contracts and employee relations
Contracts, terms and employer obligations under the applicable regulations, and support if a dispute or a termination arises.
Dispute resolution and litigation advice
Claims, non-payment and disagreements with partners or suppliers, through the appropriate route to resolution in each case.

Frequently asked questions
Are you a law firm?
No. TANMIYA is a consultancy that provides legal advice to businesses and coordinates the work with specialist law firms when the matter requires a professional licence, a specific jurisdiction or court proceedings. We have partner firms in the UAE, Spain and Latin America, and the client keeps a single point of contact.
Do you also cover Saudi Arabia and other Gulf countries?
Yes, on the same basis: what is within our reach we coordinate directly, and the rest is handled with local specialists. Each Gulf country has its own regulations and procedures, so the scope is defined case by case before we start.
Can you register a trade mark in the UAE?
Yes, and it is best done before entering the market, not after. Registering the trade mark in the UAE and the rest of the Gulf is one of the few things people almost never regret having done in good time.
Can you review a contract we have already signed?
Yes, although there is less room for manoeuvre. We review which obligations have been taken on, which risks remain open and whether there is still any route to renegotiation or exit.
Should we register the trade mark before entering the market?
Yes. It is one of the few things people almost never regret having done early. Entering with an unregistered trade mark leaves the door open for someone else to register it first.
What if the dispute is with a local partner?
We look at what the articles of association and the signed agreements say, which is usually where the answer lies. When they say nothing, the room for manoeuvre depends on the jurisdiction. It is exactly the scenario that a sound incorporation avoids.
Can you draft contracts?
Yes, we can support the preparation and review of contracts within our scope. When the document requires action reserved for a lawyer, or specific expertise, we coordinate with our legal partners in the UAE, Spain, Latin America or other jurisdictions.
Do you help with agreements between shareholders?
Yes. We can help structure the commercial points and coordinate the legal drafting/review of the shareholders' agreement or other documents.
Do you handle employment matters?
Yes, in coordination with specialists when the matter requires specific legal advice. We can provide support with contracts, business processes and coordination with the authorities.
Can you help with disputes with employees?
Yes, we can analyse the case and coordinate the appropriate advice. If a dispute or legal representation is involved, we work with licensed lawyers.
Do you help with commercial disputes?
Yes. We can support the initial phase, negotiation and coordination with lawyers or dispute resolution specialists.
Can you represent a company before the authorities?
We can coordinate and submit certain administrative procedures within our scope. When representation requires a licence to practise law, a specific power of attorney or an appearance in a professional capacity, the licensed specialist steps in.
Can you help with distribution or agency agreements?
Yes. It is especially important to review exclusivity, territory, targets, termination, governing law and possible regulatory implications.
Can you review contracts with local partners?
Yes. We recommend doing so before signing, and coordinating a specialised legal review when the contract requires it.

I know Jacobo since I arrived in Dubai in 2015, when I was posted as commercial counsellor of the commercial office of the Embassy of Spain in Dubai. Jacobo had been working there as international trade advisor way before me, in 2008. He has been in Dubai since then and has worked in different sectors and companies. As a result of that, he has a broad knowledge of the country, its sectors and on how to do business here in the UAE.
